Jessica Morgan and Jarell Hunt Deliver SEC Marketing Update for OSB

Tonkon Torp attorneys Jessica Morgan and Jarell Hunt hosted a briefing for the Oregon State Bar Securities Regulation Section on April 14. Their program focused on the upcoming changes to and consolidation of the SEC’s advertising and solicitation rules for federally registered investment advisers.

Jessica and Jarell unpacked the key aspects of the ’Marketing Rule’ which was adopted by the SEC on December 22, 2020 and becomes effective May 4, 2021. They provided an overview of the existing advertising and solicitation rules, highlighting which provisions have been revised and modernized, actions to which the new rule will apply, exceptions, and notable requirements and restrictions. The program concluded with a look at the benefits and pitfalls for advisers to adopt the new rule during the transition period or wait until the 18-month implementation date.

Jessica is Co-Chair of Tonkon Torp’s Financial Services Practice Group, where she advises pooled investment funds, private equity funds, financial institutions, and investment advisers on regulatory, securities, and general corporate matters. She also advises businesses in the cannabis industry on regulatory compliance matters.

Jarell is Chair-Elect of the OSB Securities Regulation Section. He is an associate in Tonkon Torp’s Business Department where he focuses his practice on contract drafting and negotiation, corporate governance, regulatory compliance, and transactional work – from securities offerings and other capital raises to mergers and acquisitions.
