Tom Palmer and Jessica Morgan Delve into Crowdfunding Portals

In advance of new equity crowdfunding rules coming in May 2016, Tom Palmer and Jessica Morgan held a presentation at Tonkon Torp’s Portland office on March 16 to various fundraising technology and software companies about equity crowdfunding portal regulations and compliance.

Tom and Jessica provided a general background on crowdfunding and related securities law and then discussed the benefits and risks associated with registered crowdfunding portals and how they can assist start-ups in raising capital. During their talk, they covered the key requirements for crowdfunding portals including SEC and FINRA registration, due diligence, disclosure, and management of investor relations. They ultimately provided attendees with guidance on establishing and maintaining a registered equity crowdfunding portal.

Tom chairs the firm’s Corporate Finance practice group and is also a member of the Entrepreneurial Services Practice Group. His practice emphasizes securities and general corporate matters, including mergers and acquisitions, public offerings, and private placements. Jessica is a senior associate in the firm’s Corporate Finance and Financial Services & Investment Management practice groups. Her practice focuses mainly on the registration, regulation, and compliance of investment funds, advisers, and broker-dealers.
