Tonkon Torp represented client Gagen MacDonald, a human-focused transformation consulting firm, in its acquisition by APCO Worldwide, a global advisory and advocacy consultancy. The two industry leaders provide complementing C-suite consulting services that focus on human-centered transformation within organizations.

Representative Matters

In re Williams, Love, O'Leary & Powers, P.C.

(Bankr. D. Or.) – Williams, Love, O’Leary & Powers, P.C. (“WLOP”) is a nationally recognized plaintiffs’ medical products liability firm that represents clients who suffer injuries caused by dangerous or defective medical products. Tonkon represented WLOP in its Chapter 11 case which resulted in a confirmed Plan of Reorganization through which all creditors were paid in full and the firm emerged viable and recapitalized. We believe this is the only law firm Chapter 11 in the United States in which the firm emerged intact as an operating firm continuing to serve its clients.

CDR Assessment v. CDR International

(USDC, D. Ok.) – Defended international consulting firm against copyright and trademark infringement claims related to a trade book and leadership style assessments. The matter settled after significant discovery and a pending summary judgment motion.

Bankruptcy

Represented a law firm in a voluntary Chapter 11 bankruptcy proceeding, including two appeals filed by a creditor. (USDC District of Oregon, Ninth Circuit Court of Appeals)

Sexual Harassment Defense

Defense verdict for client/employer in a sexual harassment claim by two female employees.

McCormick & Schmick Restaurant Corp., v. Professional Facilities Management, Inc.

(U.S.D.C. Case No. 3:10-cv-362-pk) –  Represented PFMI in defense of breach of contract and business tort claims filed by McCormick and Schmick relating to a repair and maintenance contract for a chain of 93 restaurants. Also filed counterclaims on behalf of PFMI for breach of contract and business torts. The case was settled on a confidential basis.

Theft Loss Coverage re Chapter 11 Trustee

Obtained a substantial recovery in settlement of insurance coverage action seeking coverage for theft loss on behalf of the Chapter 11 trustee of a bankrupt 1031 Exchange accommodator, Oregon Federal Court.

Acquisition of Unicru, Inc.

Represented Kronos as Oregon counsel in the acquisition of Unicru, Inc. for $150 million.

Kronos Buyout

Represented Kronos as Oregon counsel in the $1.8 billion buyout of Kronos by a private equity fund.

Confidential

(Multnomah County Circuit Court) – Successfully assert claims for breach of judicial dissolution, breach of fiduciary duty and breach of shareholder agreement seeking damages of $6.0 million.  

Jerry Erwin Associates, Inc. v. Brousseau, et al.

(USDC, D. Tex.) – Represented Jerry Erwin and Associates, Inc. against eight defendants who were using the client’s copyrighted architectural plans to develop senior living facilities. The case was settled favorably for all parties with an ongoing business relationship between the client and defendants.

Refinance of Seatac Holiday Inn

Represented the owner of Seatac Holiday Inn in obtaining a $21,700,000 loan from Laddes Capital.

Sale of Quantec LLC

Represented Quantec LLC in sale of Portland-based professional consulting services company to strategic investor located in Boston. 

In re Grange Mutual Insurance Company

(Bankr. D. Or.) – Tonkon represented Grange Mutual Insurance Company ("GMIC") in its Chapter 11 liquidation. We believe the GMIC case is one of only two cases involving the wind-down of an insurance company through Chapter 11 since the Bankruptcy Code was adopted. The case was filed in July 2002 and the Plan of Liquidation was confirmed in December 2002. GMIC had over 35,000 policy holders and hundreds of outstanding claims. All policies were rejected and a claims bar date was set. By the end of 2003 all claims were liquidated and paid. 

Orion IP, LLC v. Thule AB, et al.

(USDC, E.D. Tex.) – Defended Yakima Products patent infringement action involving client’s website.
