Overview

Tom is an attorney in Tonkon Torp’s Business Department with a practice focused on mergers and acquisitions, emerging companies, securities, and general corporate work. He has significant experience drafting and negotiating key documents for strategic transactions and securities offerings of all sizes, including a wide range of purchase agreements, joint venture and LLC agreements, and SEC filings. Tom also has extensive experience leading due diligence teams in connection with both acquisition transactions and investment financings.

Alongside his transactional practice, Tom works with emerging and established companies in an ongoing counsel role, reviewing and drafting NDAs, consulting agreements, distribution agreements, and commercial contracts. His experience includes providing strategic legal advice to public company clients on such matters as securities offerings, corporate governance, and compliance with SEC requirements. Tom also regularly works with entrepreneurs and growing businesses, guiding them from formation through venture capital financings.

Prior to joining Tonkon Torp, Tom worked for six years in Portland as an associate attorney with the business practice group of Perkins Coie LLP. While in law school, he served as a judicial extern to Judge Michael H. Simon at the U.S. District Court for Oregon, and as a law clerk with the Oregon Department of Justice, Natural Resources Section.

Outside of work, Tom enjoys photography, road and mountain biking, hiking, gardening, cooking, and spending time with his wife and their two rescue greyhounds.

Drea Schmidt and Tom Vogt Speak at Startup Capital & Funding Program

Tonkon Torp was a presenting sponsor for the Angel Oregon Consumer Packaged Goods Capital & Funding Literacy program put on by the Oregon Entrepreneurs Network. The program is designed for early-stage consumer packaged goods founders in Oregon and Southwest Washington who are preparing to raise capital and scale their brands. Tonkon Torp partner Drea Schmidt led a discussion panel for the program on “Understanding the Funding Stack” while attorney Tom Vogt covered due diligence and how businesses can best prepare their company, data, and team for investor scrutiny.
