Tonkon Torp Business Department Co-Chair Jessica Morgan presented at the 46th Annual Northwest Securities Institute in Seattle, Washington, a continuing legal education program sponsored by the Washington State Bar Association. Morgan joined Kathryn “Kat” Peters-Miller of Shartsis Friese LLP to present “Fund Formation and Governance Fundamentals” to an audience of Pacific Northwest business attorneys and finance professionals.
The presentation provided an overview of private fund structures, key securities laws, and common issues that arise in connection with new fund launches. Morgan and Peters-Miller discussed organizational structures for private funds, regulatory and compliance considerations for fund counsel, and common concerns raised by private fund investors – including governance, fees, and investment risk considerations. The two also explored current trends shaping the private funds industry, such as co-investment vehicles, AI developments, and increased retail access to private fund investments.
Morgan focuses her practice on regulatory compliance, securities law, and corporate law matters for financial services businesses and investment advisers. She regularly advises pooled investment funds, private equity funds, financial institutions, and investment advisers on a wide range of regulatory issues involving the Securities Act of 1933, Securities Exchange Act of 1934, Investment Advisers Act, Investment Company Act, self-regulatory organization rules, and state blue-sky laws.
