Cronn Adds M&A Lawyer’s Perspective to Seminar on Business Transitions

Jeff Cronn was a panelist at a May 7 seminar on business transition planning, hosted by Key Bank. Cronn discussed legal issues that should be considered in the pre-deal stage in order to enhance and preserve the value of a business to be sold. These issues include preparing for a potential buyer’s due diligence inquiry with respect to commercial contracts, related party transactions, intellectual property, legal and regulatory matters, and more. Employee incentives in play during the business sale process should also be considered.

Cronn has chaired Tonkon Torp’s Business Department since 2008. In his transactional and corporate practice, he counsels public, private, private equity and nonprofit entities regarding mergers and acquisitions, corporate governance, securities and financings, business divorce, and other general corporate matters.
