Sherrill Corbett and Jessica Morgan Lead M&A Panel for Oregon Cannabis Association

On January 21, Tonkon Torp partners Sherrill Corbett and Jessica Morgan led a panel discussion on M&A in the cannabis industry at the Oregon Cannabis Association member happy hour. Tapping into their experience of helping clients sell or seek investment in a recreational cannabis company, the attorneys shared insight into ways to make a transaction go smoother. They stressed the importance of: understanding the tax and regulatory implications of the transaction structure, clarifying its potential impact on existing contracts, completing buyer due diligence, protecting intellectual property, and properly handling employment matters (such as correctly classifying independent contractors).

They also provided OCA members with suggestions for staying the course during a long, detailed M&A process. They encouraged people to acknowledge their strengths and reach out to experts when needed, and they offered a good reminder for owners and investors to take care of themselves during what is often a stressful period.

Sherrill is a member, and the immediate Past Chair, of Tonkon Torp's Mergers & Acquisitions Practice Group. She counsels cannabis and general business clients on buying and selling businesses, and structuring complex joint ventures. She also advises clients on private placements.

Jessica is Co-Chair of Tonkon Torp’s Financial Services Practice Group, where she advises pooled investment funds, private equity funds, financial institutions, and investment advisers on regulatory, securities, and general corporate matters. She also advises businesses in the cannabis industry on regulatory compliance matters.
