Tonkon Torp’s 2017 M&A Deals Top $2 Billion

In 2017, Tonkon Torp's Mergers & Acquisitions and Corporate Finance practice groups handled deals with an aggregate value exceeding $2.25 billion. The transactions covered a broad cross section of industries, company sizes, entity types, and deal values.

Tonkon Torp's M&A clients are engaged in many of the leading industries in the Northwest – including food, energy, technology, and manufacturing. The firm served as lead counsel on multiple transactions listed in the Portland Business Journal's 2017 list of the region's largest M&A transactions. The largest transaction on that list, Pacific Food's $700 million acquisition by Campbell Soup Co., was handled by Tonkon Torp. Also, the firm represented its longtime client, Hood River Distillers, in its $205 million sale of the Pendleton Whisky brands to Proximo Spirits, whose portfolio of spirits includes Jose Cuervo tequila.

Sherrill Corbett, Chair of the firm's Mergers & Acquisitions Practice Group shares her thoughts about what draws client to Tonkon: "Apart from expert advice, clients are hiring us to represent them in M&A transactions because they know they will receive high-touch, personal, and responsive service for the most significant transaction they may experience in their business life. Regardless of the transaction size, our clients receive uncommon access to attorneys during a deal, which is especially important during a potentially very personal and emotional transaction process."

"We earn a lot of trust from our clients by listening to their concerns. We add value by providing perspective and clarifying what is happening at each step during the transaction process." Corbett also noted that clients are reassured when they know that the lawyer they are working with has 20+ years of experience in M&A. "The partners in our M&A and Corporate Finance practice groups are very experienced and have pretty much seen it all when it comes to working through transactions and closing deals," she says. "Our clients appreciate that we bring that experience to the table because it means we can take some of the burden off of them."

Tonkon Torp's M&A team represents public and private companies as buyers, sellers, targets, and other participants in acquisitions, divestitures, spin-offs, control and proxy contests, reorganizations, and joint ventures. With more than 20 attorneys in the Mergers & Acquisitions Practice Group, the firm has the bench strength, experience, and expertise to handle the most complicated and sophisticated of transactions, as well to efficiently handle much smaller deals. The M&A team combines solid and creative business skills and top-notch capabilities in due diligence, tax, intellectual property, environmental, labor and employment, employee benefits, securities, antitrust, executive compensation, and information security.
