Brenda Meltebeke Cruises through Convertible Notes at Tonkon Talk

At the December 7 Tonkon Talk, attorney Brenda Meltebeke took attendees on a trip through the pleasures and pitfalls of a convertible promissory note. During the presentation, Brenda navigated startup companies through a typical term sheet for a convertible promissory note financing. She defined the standard terms a company could expect to find in a convertible promissory note and explored the mechanics of conversion.

 

Brenda is Co-Chair of the firm’s Entrepreneurial Services practice group. She provides startup and emerging growth clients with business counseling and general corporate legal services. She also works with companies at all stages of growth on corporate formation, governance and dissolution issues, financing and M&A transactions, as well as on negotiating and documenting various types of contractual arrangements. In addition, she represents several angel funds with respect to their formation, compliance, and portfolio company investments.

“Tonkon Talks in the Pearl” is a series of lunch-hour presentations hosted by the firm’s Entrepreneurial Services Group. They are held on the first Wednesday of each month at the firm’s CENTRL Office location in the Pearl District. The talks provide an overview on legal topics that impact entrepreneurs and startups.
