Jeff Cronn and Claire Brown Discuss Oregon’s New Crowdfunding Rule

Jeff Cronn, Chair of Tonkon Torp LLP’s Business Department, and Claire Brown, a Tonkon Torp associate practicing in the areas of corporate law and securities, recently gave a presentation to the Oregon State Bar’s Securities Regulation and Sustainable Future sections on Oregon’s new Community Public Offering rule, commonly referred to as “state crowdfunding.”

They discussed the details and potential use of the new rule as it pertains to companies seeking to use this new fundraising strategy to reach investors. They explored how the new Oregon rule provides an option that merges traditional and new fundraising concepts, allowing Oregon companies to sell debt or equity to Oregon residents without regard to investor wealth or sophistication.

Jeff has chaired Tonkon Torp’s Business Department since 2008. In his transactional and corporate practice, he counsels public, private, and nonprofit entities regarding mergers and acquisitions, corporate governance, securities and financings, business divorce, and other general corporate matters. Claire counsels business and startup clients on various corporate, transactional, and fundraising matters.
