Tonkon Torp’s Corporate Finance Specialists Host Seminar for M&A Brokers

Tonkon Torp’s Financial Services and Investment Management practice group hosted a seminar on October 30 to explain new rules that help keep M&A brokers out of trouble and out of having to register as a broker-dealer. The seminar was led by Tom Palmer, Tatiana Perry, and Jessica Morgan, the firm’s corporate finance and financial services specialists.

In addition to covering practical dos and don’ts regarding the evolving deal structure limitations for unregistered M&A brokers under SEC no-action guidance, the event included a discussion of the recently proposed FINRA-lite registration option for Limited Corporate Finance Brokers (LCFB). The lawyers also presented scenarios that brokers may encounter and questions for consideration.

Palmer chairs the Corporate Finance practice group and specializes in securities and general corporate matters including public offerings, private placements, corporate governance, and mergers and acquisitions. Perry’s practice emphasizes mergers and acquisitions, securities and corporate law, and she represents financial institutions, money managers, and investment funds. Morgan, an associate in the Financial Services and Investment Management practice, advises clients on federal and state securities and regulatory matters and in corporate transactions.

The Financial Services and Investment Management practice group provides counsel, transaction, and litigation services to private investment funds, investment advisers, and broker-dealers.
