Tonkon Torp Attorney Presents JOBS Act information for companies interested in Raising Capital

On September 19, Tonkon Torp corporate attorney Tom Palmer will discuss the 2012 JOBS Act (Jumpstart Our Business Startups Act) and offer practical guidelines on how small businesses may be able use the Act to raise capital.

Palmer chairs Tonkon Torp’s Corporate Finance Practice Group. He specializes in securities and corporate transactions including mergers and acquisitions, initial public offerings, other equity and debt offerings, and private placements. A key part of his practice includes representation of special committees of directors, corporate governance issues and SEC reporting and disclosure matters.

The 2012 JOBS Act may offer a variety of financing alternatives for companies seeking to raise capital. Among other things, the Act permits “crowdfunding,” whereby companies may sell securities through open platforms with fewer regulatory requirements than traditional offerings. While SEC regulations remain to be worked out, Palmer will explain the legislation that was passed last April and suggest how companies may apply the Act to their capital raising endeavors.

Palmer’s luncheon presentation in downtown Portland is hosted by Union Bank. For more information, contact ty.pettit@unionbank.com.
