Tonkon Torp has represented United States Bakery (USB), best known for its Franz Family Bakery brands, for more than 40 years. The largest independent baking company in the Northwest, USB has grown steadily over time from its Portland roots and today has nine bakeries in five states that deliver fresh baked goods daily to customers.
As USB’s general counsel, Tonkon Torp has supported the company’s legal needs in areas including general corporate governance, acquisitions of other bakeries, brands and facilities, joint ventures for specialty products and markets, labor and employment, real estate, environmental law, general commercial contracts, business litigation, tax and intellectual property.
Tonkon Torp recently helped USB acquire six brands and related assets including bakery facilities, transport vehicles, recipes and other intellectual property through an auction stemming from the Hostess Brands bankruptcy. Although an asset purchase through bankruptcy fell outside of USB’s ordinary practice, the company nimbly navigated through the process with assistance from Tonkon Torp’s corporate legal services, including the capabilities of the firm’s preeminent bankruptcy practice group.
